These Terms of Service ("Terms") govern your access to and use of the e-Business ERP platform and related websites, applications and services (together, the "Service"). The Service is provided by e-Business Group Ltd, trading as e-Business ERP ("e-Business", "we", "us" or "our"), of 89 Robertson Road, Suva, Fiji.
By creating an account, starting a free trial, subscribing to a paid plan, or otherwise using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company or other organisation, you represent that you have authority to bind that organisation, and "you" refers to that organisation.

1. Agreement to these Terms
These Terms, together with our Privacy Policy and, where applicable, our Data Processing Addendum, form the entire agreement between you and e-Business regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions continue in full force.
2. The Service
e-Business ERP is a cloud-based, multi-tenant business management platform that may include modules for accounting and general ledger, sales and invoicing, inventory, purchasing, payroll, HR, CRM, project costing, quality management and related tools. Features available to you depend on the plan you select. We may add, change or remove features over time to improve the Service.
3. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. When you register, you agree to provide accurate, current and complete information and to keep it up to date.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us promptly at [email protected] of any unauthorised use. We are not liable for any loss arising from your failure to keep credentials secure.
4. Free trial
We may offer a free trial (currently 7 days) that gives you access to the features of a selected plan. No payment card is required to start a trial, and we do not charge you automatically when a trial ends.
If you do not subscribe before the trial ends, your account becomes read-only. If you take no action for an extended period, your account may be paused and later archived, as described in our Privacy Policy. We may modify or withdraw trial offers at any time.
5. Plans, pricing and billing
Paid access to the Service is sold on a subscription basis. When you subscribe, you choose a plan and a billing interval — monthly or yearly. Prices are shown on our pricing page and at checkout, in the currency applicable to your country (for example, Fijian Dollars, FJ$).
- Monthly plans are billed in advance, once per month, on the date you subscribe.
- Yearly plans are billed in advance as a single payment, once per year, and are offered at a discount compared with paying monthly.
- Nothing is charged until you choose to subscribe. Your first charge occurs when you complete checkout and provide a payment method.
You may change your plan at any time from within your account under My Account → Subscription & Billing. When you upgrade or downgrade mid-cycle, we apply a pro-rated adjustment so that you are only charged the difference for the remaining time in your current billing period. Changes to a plan's price will not affect your current billing period; we will give you reasonable advance notice of any price change before it applies to a renewal.
6. Auto-renewal and cancellation
Subscriptions renew automatically. At the end of each billing period (monthly or yearly), your subscription renews for another period of the same length and your payment method is charged the then-current fee, unless you cancel before the renewal date.
You can cancel at any time from My Account → Subscription & Billing, or by contacting [email protected]. When you cancel:
- Your subscription remains active until the end of the period you have already paid for;
- You will not be charged again after that period; and
- After the period ends, your account moves to a read-only / paused state, and your data is retained and then archived as described in our Privacy Policy.
7. Refunds
Except where required by applicable law, subscription fees are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, or features not used.
- Monthly plans: fees already charged for the current month are not refunded; cancelling prevents future charges.
- Yearly plans: as a goodwill measure, you may request a pro-rated refund of the unused portion within 14 days of your initial annual charge. After 14 days, annual fees are non-refundable for the remainder of the term.
To request a refund where eligible, contact [email protected]. Nothing in this section limits any non-excludable rights you may have under the consumer laws of your country.
8. Taxes
Prices are exclusive of taxes unless stated otherwise. You are responsible for any applicable sales tax, VAT, GST or similar taxes associated with your subscription, except for taxes based on our net income. Where we are required to collect such taxes, they will be added at checkout.
9. Payment processing
Payments are processed securely by our third-party payment provider, Stripe. By subscribing, you authorise us and Stripe to charge your payment method for the recurring fees described above. Your card details are collected and stored by Stripe in accordance with PCI-DSS standards; we do not receive or store your full card number. We retain only limited information such as the card brand, the last four digits and the expiry date for billing and support purposes. Your use of Stripe is also subject to Stripe's own terms and privacy policy.
If a payment fails, we may retry the charge and may suspend or limit your access until the outstanding amount is paid.
10. Acceptable use
You agree not to use the Service to: (a) break any law or regulation; (b) infringe the rights of others; (c) upload malicious code or attempt to gain unauthorised access to the Service or other customers' data; (d) interfere with or disrupt the integrity or performance of the Service; (e) resell or provide the Service to third parties except as expressly permitted; or (f) use the Service to store or transmit content that is unlawful, harmful or objectionable. You are responsible for the conduct of all users on your account.
11. Your data and content
As between you and us, you own the data and content you submit to the Service ("Customer Data"). You grant us a limited licence to host, process, transmit and display Customer Data solely to provide and support the Service, to keep backups, and as otherwise permitted by these Terms and our Privacy Policy.
Where we process personal data on your behalf as part of Customer Data, we do so as your processor in accordance with our Data Processing Addendum. You are responsible for the accuracy and legality of Customer Data and for having the necessary rights and consents to provide it to us.
You may export your data while your subscription is active, and may request an export for a reasonable period after cancellation as set out in our Privacy Policy.
12. Intellectual property
The Service, including its software, design, text, graphics and trademarks, is owned by e-Business and its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you to use the Service, no rights are transferred to you. You may not copy, modify, reverse-engineer, or create derivative works of the Service except to the extent permitted by law.
13. Availability and support
We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may perform scheduled or emergency maintenance, and will try to give reasonable notice of planned downtime. Support is provided by email at [email protected] and via live chat during business hours.
14. Third-party services
The Service relies on, and may integrate with, third-party providers (for example, payment, email, security and hosting providers). We are not responsible for the availability, content or practices of third-party services, and your use of them may be subject to their own terms.
15. Suspension and termination
We may suspend or terminate your access to the Service if you materially breach these Terms, if payment is overdue, or if your use poses a security or legal risk. You may terminate by cancelling your subscription and ceasing to use the Service. On termination, your right to use the Service ends, and we will handle your data as described in our Privacy Policy.
16. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will meet your requirements or that any data, including financial, tax or payroll calculations, is error-free; you remain responsible for reviewing outputs and meeting your own compliance obligations.
17. Limitation of liability
To the maximum extent permitted by law, e-Business will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising out of or relating to the Service. Our total aggregate liability for any claim arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve (12) months immediately before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
18. Indemnification
You agree to indemnify and hold harmless e-Business and its directors, employees and agents from any claims, damages, liabilities and expenses (including reasonable legal fees) arising out of your Customer Data, your use of the Service, or your breach of these Terms.
19. Changes to the Service or these Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify you by email or within the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
20. Governing law and disputes
These Terms are governed by the laws of the Republic of Fiji, without regard to conflict-of-law rules. You and e-Business submit to the exclusive jurisdiction of the courts of Fiji to resolve any dispute arising out of or relating to these Terms or the Service, subject to any non-excludable rights you may have to bring proceedings in your local courts.
